You are right with everything you have said.

There is a reason that Phil couldnt close the big one.... Dr. Gaylen Byker.

Byker was undermining Phil and trying to do some side deals that kepy derailing the discussions that Phil was having with XOM. 

You will notice that the Total SPA deal was announced (December 5, 2013) within three weeks of Phil resigning (November 18, 2013) from the BOD. Phil was never included in the Total negotiations, so even then Hession was playing members of the Board off against each other while he took the spoils.
