Conflict of Interest exists with Hession and this Board - jft310 - 07-14-2016

If one adds up the stock and cash awards in a change of control with Interoil they clearly are excessive .

Management especially Hession has a major conflict of interest . Why does this matter you ask ??Simple really all of the Officers of Interoil with a proven conflict of interest would have major issues in a court of law . Their actions could be thrown out .

Its called Breach of your Fiduciary Respondsibility to shareholders . Hint to Hession and his crew we own the company and you work for us . You serve at the pleasure of shareholders . You better wise up and do right by shareholders or you face very serious court challenges . Further hint you face very serious financial consequences for harm to shareholders .

Not hard to prove at all . If you can't get a fair price then you don't sell at that time !!

If you can't bridge into the Total payments please resign so we can get a CEO and BOD that can bridge !!

Failure to resign means higher Breach awards .

Your best positive hope is a bidding war between Exxon and Total for our assets. The Oil Search offer was and is a clear Breach !!

Doesn't take the US Juctice Dept like in the Dell Computer law suite it's takes a Breach of Fiduciary Respondsibility law suite. Can be filed in the US because of the NYSE listing its reported by a law firm .
Reality is we have a genuine Exxon bid and if it includes an assumption of the Total SPA then it forces Total to bid . OSH can't keep up but Exxon and Total can keep up .
So that CVR with Exxon trades on the NYSE and Total maybe could also trade in NY,
Eliminates CVR issues of Australian currency issues , Australian stock exchange high commissions , and Australian Capital Gain of 10 percent .
Could take months to shake out .

The Australian exchange issues may be exaggerated. I don't think they make XOM any more valuable. The value is priced into the shares already. Expecting justice for MH in this world isn't realistic IMHO. The value of XOM is in a "fair" offer.

If you think the market values things fairly then you haven't paid much attention to stock prices with dramatic rises and falls. How you can consider the XOM offer fair is well beyond me.  How you can say that when you don't know what you're selling or what the buyer is paying? THAT is nonsense.

The Australian component is an issue for some US mutual funds .
