How the IOC BOD screwed the shareholders - oliver.gump - 07-26-2016

In 2013, PM was in negotiation with XOM, and he had gotten them to the point of signing a deal that was far better than the one XOM have offered now.

But the BOD (spearheaded by Gaylen Byker, Roger Lewis, and Ford Nicholson) and assisted by Bill Jasper and Collin Visaggio, torpedoed PM. Byker and Nicholson were actually undermining PM to XOM in order to derail the negotiations.

Since then we have seen a significant devaulation of IOC that has come from a confluence of factors, including share value dilution, abusive salary and bonus compensation for the BOD and the executives, and the markets overall view of the competence of the BOD and the Management, in particular the CEO and his pet Chariman.

Now, three years later, XOM comes in with a lowball offer and is poised to take the farm for much less than it was prepared to pay for part of it three years ago. They must be rolling on the floor laughing at IOC management.

In short, the BOD screwed us, the CEO screwed us, and XOM is screwing us, and there are some people that still think Teflon Mike has the best interests of the shareholders in mind.

In almost any other context, this chain of events would have lead to a combination of hilarity and death, however here we have people who are directly affected simply shruggin and saying "Hey, what can I do about it?" and reaching for the lube.

What you can do about it is to vote: NO, and push XOM to sweeten the deal.

Voting yes, is simply looking at the abuser, and suggesting diplomatically, "please dont hurt me any more than you feel the urge to do..."

Gump is correct in these statements, Wayne Andrews was also involved in the this skullduggery. Byker, Lewis, Nicholson, Jasper, Andrews blew up IOC by removing PM. These guys along now with Hession and his Board are to blame for IOC share price demise. Shame to you men who held a stewardship position of the body of IOC shareholders! Shame on you for your being a traitor to PM who created IOC and made each one of you multi millionaires.

Interesting story, Oliver.

What is your source?

Sounds personal to me. I remember one interaction I had with Ford before the takeover and he seemed straight, but I don't know anything about any other than Hession and a few of the Mulacek team. Gump I suspect can add some more color.

By all means let's get as emotional as possible.

Multiple inside sources over many years, some of which have not yet been terminated.

Personal? When their self serving actions hit me in the pocketbook, yes that is very personal.

If this is true than it really is an epic mistake, if it was a mistake. And the question that immediately imposes itself is why?

Admin, this wasnt a mistake, it was a deliberate action. Byker Lewis, and Andrews wanted the company sold. PM wanted only to bring XOM in as a partner to E/A. Ultimately MH was brought in by Lewis, under the approval of Byker and Andrews to operate the chop-shop, drive the price down, and get a sale for the entire enchilada.

That is why there was a huge change of control payment for Hession that grew larger (Much Larger) with each restatement of his contract.

The screwing started in 2012 and is almost done.

In January, Hession for the first time since he was employed, spent some of his own money on shares at the bottom of the market at $24.09, whilst he was in possession of information regarding BOTH the OSH and XOM negotiations.

What more is needed to show that Hession and his entire executive team are lice?

The BOD is complicit in all of this action except for Katherine Hirshfeldt whow was made a member of the compensation committee and then promptly quit. (presumably when she became aware of how Hession was using the BOD to milk the shareholders?)

But to answer your question: Money, LOTS of money. Hession has taken in salary, bonuses, and change oc control payments, more than the CEOs of BP, Shell, and BG, combined!, in 2015 while at the same time presiding over a 60% decrease in market cap, and the total depletion of liquid assets, and the conversion of shareholder equity into debt.
