Update on news when - jft310 - 02-19-2013

Wayne Andrews will be at the RJ Conference and speak . He needs something to say  right!?? Expect a deal update at that time , not an announcement but an update, So far we know we have 2 Super Majors , 1 NOC and 1 utility and other talk is their speculation. The price is not public for anyone. But 4 bidders should compel the shorts to continue to cover.

I doubt he'll have anything more to say than he did down in FL. Maybe we'll hear something about Triceratops and updated resource estimates. That wouldn't disturb the bidding for E/A although it might impact any potential buyout offer. Recalling that Phil et al really seemed to want to continue exploration after the selldown I doubt they would be inclined to do anything to advance the potential for an early buyout.

Another thing about the buyout potential. I suspect PNG would have grave reservations about a buyout by anyone other than XOM. PNG wants jobs and income. A buyout offer by anyone other than XOM (at least without an XOM takeoff agreement at the tee) would likely push the project timeline backwards, possibly substantially. This is of course pure speculation. Time will tell.

InterOil sets deadline for final PNG bids

The InterOil-led Gulf liquefied natural gas project in Papua New Guinea has set a deadline for final binding bids to be submitted by companies keen to join.

The project must introduce a recognised international operator in order to receive the PNG government’s approval to proceed.

Final bids are due on 28 February. InterOil chief executive Phil Mulacek said: “We are pleased to have the continued support of the PNG government.

“The interest demonstrated by major oil, national oil and global utility companies remains strong, and bodes well for the conclusion of our sell down of interest in the Elk and Antelope fields and partnering in the Gulf LNG project.”

It is understood Shell, Chevron, Eni and possibly Total, as well as some national players have expressed an interest. The project involves a single onshore LNG train of 3.8 million tonnes per annum coming on stream in 2016, followed by a second train.

Are all bids in or do we await the bids from another 2 SM's listed 2.5 weeks ago??

Then again there are those non-conforming bids...

More facts, no one knows. the price per Mcf, the upfront money , the who , the bidder make up besides the company , They told us last week IOC had 4 bidders, 2 SMS , 1 noc , 1 utility and talk of others is premature today .

RE: Update on news when - ArtM72 - 02-19-2013

The way things work there could be 3 SMs 1 NOC and 2 utilities making up a single bid. Only time will tell. Fun to speculate.

Doublebagger heard what I heard but added more details. His Yahoo post below.

Do Let me begin by being clear about the final bid date. The final bid date is NOT changing. It is Feb 28th. The bidders are still tweaking, refining, enhancing their bids. Each bid will require a thorough financial analysis by the bankers using a standardized framework across all the bidders. The modeling and analysis process will take some time, even with the bankers working nearly 24/7. There are numerous variables contained in each bid: the percentage of the LNG plant IOC will own, whether there is a cost overrun guarantee provided by the bidder (this is VERY valuable to IOC), amount of cash and the percentage paid on signing the definitive agreements vs. various milestones, exploration options beyond E/A and the economics around new resources, etc., etc.. All of this analysis needs to be done for each the 4-6 bids coming in. Given the complexity and the total dollars involved, the IBs will need AT LEAST 1.5 weeks to complete the bid analysis for each bid and get fairness opinions drafted and signed off and make day-long presentations to the IOC Board. Anyone that says otherwise either has not been through these processes (I have been through several as a principal) and/or does not understand the legal standards an IB must meet in order to satisfy the standard of care (as an attorney with 15+ years of M&A and transactional experience involving public companies, I do). Hence, the EARLIEST you should expect the IOC Board to meet is March 9-10. If there is a clear winner, you could hear an announcement from InterOil the week of March 11th. Chatter is that the bid process is extremely active and the 4 conforming bidders are highly engaged, eager and focused on winning. This is why you saw the stock move up over the last week. Some of the shorts located in Australia have better access to real-time information/developments and have concluded the deal is going to happen and it will be quite favorable for IOC. That said, I would not be surprised, if either of the 2 non-conforming entities (both SMs) make a takeover offer for 100% of InterOil before the signing of the definitive agreements. Just to be super clear, the most likely time for a takeover bid for InterOil is after the sell-down partner/deal is announced and before the definitive agreements are signed for the sell-down deal. It typically takes 2-3 months between deal announcement and the deal closing.
