Hints to the 20-F in Job Listings? - tacitusk - 06-26-2014 SA Moderators are still waiting to approve this instablog post so I copied it here:
NQ Mobile recently posted several new job listings on a Chinese job search website. One of them was for the position of "Internal Audit Manager". Some of the specifically listed qualifications included familiarity with Section 404 of the Sarbanes-Oxley Act as well asAuditing Standard 5. Both the IC report and Omar Khan mentioned issues regarding controls, the job posting provides more color into what these issues were, the nature of these issues posits a reasonable hypothesis for the delay of the 20-F. To illustrate my thinking here are quotes from Omar Khan and from the IC: Omar Khan in Recent Memo:
Excerpt from the Independent Committee:
And to illustrate why this job posting is relevent to the above statements here is a summary of Section 404:
To conclude, I believe that the delay in the 20-F is a result of the need for PWC to verify the adequacy of the internal control structure, as the system NQ Mobile previously had in place was found lacking, as the evidence from the job listings and memo suggests. Combined with the investigation into the company which largely exonerated it, there is no reason to expect anything other than an unqualified audit. RE: Hints to the 20-F in Job Listings? - justingiles - 06-26-2014 tacitusk, Very interesting stuff. I know the Company had a couple of job openings (communications specialist, etc.) in Dallas just a couple of months ago. RE: Hints to the 20-F in Job Listings? - BillNeuburger - 06-26-2014 Are you sure this is NetQin and not actually Qin Technology Company which also exists? NQ has posted an internal auditor job on their Chinese recruiting website. But I'm not sure this is the same. RE: Hints to the 20-F in Job Listings? - futurevalue - 06-26-2014

There are also a few errors in the English translations by Google translator.

RE: Hints to the 20-F in Job Listings? - BillNeuburger - 07-14-2014 http://nq.hirede.com/job/JobDetails?jobId=30895 Well they haven't given up on posting jobs for positions likely having to do with control issues. RE: Hints to the 20-F in Job Listings? - tradestar2012 - 07-15-2014 looks like the internal audit job has been filled. they're now looking for a senior finance manager. I think a qualified vs unqualified is still on the table. RE: Hints to the 20-F in Job Listings? - ArtM72 - 07-17-2014

It may just be that NQ has made the decision to put the top priority to solve whatever control problems they have so when they release the 20-F their auditors can state the problems existing in the past have been addressed. I wouldn't be confident at this time if the independent review...emphasizing independent...was not substantially clean. What may be the problem causing the delay is one or more of their acquisitions may have been "creative" on their books. I know nothing about accounting so would pose the question would writing down the value of such an asset require a restatement of previous years' reports? |
