Former InterOil chief executive and dissident shareholder Phil Mulacek is expected to keep up an intense campaign against the Papua New Guinea explorer's $US2.2 billion-plus takeover by Oil Search even if shareholders back the US-listed company's existing board at a meeting overnight. Proxy voting ahead of InterOil's June 14 shareholder meeting in New York is understood to have shown a healthy support for the existing board, which is unanimously recommending the Oil Search deal. But Mr Mulacek, the founder of InterOil, is still expected to garner some solid support for his own rebel director nominees, which include himself and four allies, even if, as expected, they fail to win board seats. Mr Mulacek has been a strident opponent of the takeover of InterOil, which would hand Oil Search and its ally, French oil major Total, control of the large Elk-Antelope gas resource, the likely source for PNG's next major LNG project. He has said the terms undervalue InterOil by about $US4 billion, based on his estimates of the amount of gas in Elk-Antelope. Mr Mulacek wasn't available to speak on Tuesday, but said by email that the AGM was "a moot point". "The AGM is not material if the company is gone next month," he wrote after arriving in the US ahead of the AGM. Mr Mulacek also reiterated his group's opposition to the Oil Search transaction "as it is defined today". The voting at the InterOil AGM is meanwhile likely to reflect some protest at the remuneration for chief executive Michael Hession, which includes a $US39.27 million payment if the takeover proceeds. One of the resolutions seeks approval to grant more stock-based compensation, which Mr Mulacek says is potentially worth $US80 million-$US100 million. But it still recommended shareholders support the existing board, as has fellow proxy advisers Glass Lewis and Egan Jones. Last week, Oil Search chief executive Peter Botten said he was "quietly confident" the takeover would secure approval from InterOil shareholders, but he said it would be a "24-7-type exercise" to make sure. Mr Botten said he expected to be back speaking with InterOil investors in North America several times before they are due to vote on the deal, on July 28. At least two-thirds of InterOil shareholders that vote need to be in favour for the deal to proceed. Sources said on Tuesday that they saw little risk of a board spill at late Tuesday's meeting. "We think AGM status quo will be preserved, with some of the alternative proposals unlikely to be supported," said Bernstein Research analyst Neil Beveridge, adding he saw a "high probability" the takeover deal would be approved at the late July meeting. Mr Mulacek, who owns more than 5 per cent of InterOil stock and represents a group of shareholders owning about 7.5 per cent in total, tried unsuccessfully in the courts to get the annual general meeting with the voting on the board deferred until after the vote on the deal. He said shareholders are being forced to consider electing a board without a complete understanding of why it chose to support the sale to Oil Search because the full details of that transaction won't be released to shareholders until later this month.
