CRP Update from Computershare

Kaliboo - Just noticed a large "chunk" deposited in my cash acc't. Can't find any explanation . Could it be some xom/ioc dollars ??? . Shouldn't be,but who knows ,( maybe that doggone Shadow at work again !)  <img src=" border="0" class="smilie" src="http://shareholdersunite.com/mybb/images/smilies/huh.gif" />

they had said CRP should be paid out by end of month...

It's reported Exxon mailed a letter dated 9/22

That shareholders will receive an additional $5.01.

Ladies and Gentlemen:
Reference is made to that certain Contingent Resource Payment Agreement, dated February
22, 2017, among ExxonMobil Canada Holdings ULC, an unlimited liability corporation
and indirect wholly-owned subsidiary of Parent organized under the laws of British
Columbia (AcquisitionCo), Exxon Mobil Corporation, a New Jersey corporation
(;Parent), Computershare Trust Company, N.A., a U.S. national banking association, and
Computershare Inc., a Delaware corporation (the CRP Agreement). Capitalized terms
used, but not otherwise defined herein, shall have the meaning ascribed to such terms in the
CRP Agreement.
The Payment Condition has been satisfied and occurred on September 6, 2017. Pursuant to
Section 3.05 of the CRP Agreement, AcquisitionCo hereby provides notice that (i) the
amount of the Aggregate CRP Payment is $254,248,023.74, (ii) the amount of the
Distributable CRP Payment in respect of each EVR is $4.98 and (iii) the Loan Proceeds
Payment in respect of each EVR is $0.04. This letter shall constitute the “Achievement
Certificate” for purposes of Section 3.05 of the CRP Agreement.

This provides for a payment of $5.02 per CRP [which was issued for each share of IOC held by shareholders on the date of the sale].

Better than nothing. And the final [short of lawsuits] chapter in the sad IOC saga.

To make the last entry a liltte clearer:

The Elk/Antelope appraisal process is completed and the final numbers were presented to ExxonMobil and Total. There were, presumably, two independent appraisals, from which an average resource number was developed. That number was apparently approximately 6.91 Tcfe, which provided for a contingent resource payment for approximately .71 Tcfe at approximately $7.07/Tcfe for a total payment of $5.02/CRP or EVR [or original IOC share]. Thus, for every share of IOC that one held on the sale of IOC to EOM, one will now be paid $5.02 [actually $5.015525 per Interoil share]. This money will be deposited in your individual brokerage account if your IOC shares were held in street name. If you held your shares in your own name, I believe that a check will be sent directly to the name and address that you have on file with Computershare [which would have been taken from the original IOC stock transfer book]. This will be the final transaction regarding IOC shares, unless you dissented from the vote. If  you did dissent and did not then accept the first dissent offer [which was the exact same offer as the original], then you will have to wait for the court process to be completed. My opinion, however, is that the court will not provide for an additional independent appraisal, but will rather accept the two company-funded independent appraisals as a 'fair market value' for the IOC resources. The court may or may not request additional input regarding other contingent assets of IOC [value of other fields, seismic data, etc. etc.], but I do not believe they will change the IOC share value much from the $50 that this CRP puts as a final value on each IOC share in the Exxon deal [$45 in EOM shares and $5 in cash for the CRP/EVR].

It has been a painful and sad roller coaster ride which turned out to be an extreme and unwanted lesson in corporate greed and malfeasance. The only bright spot in this entire sordid affair has been sharing thoughts and hearing expert insights from the many people on this forum. Though I never met any of you in person, please know that I have valued all of your postings and feel much enriched by sharing this forum with all of you. Perhaps we'll meet someday and have a drink and reminisce about that time when we were all--too briefly--good friends on ShareholdersUnite. Thanks to all and the best of luck in what ever the future may bring for you.

Confirmed that my multiple accounts at Fidelity were credited with the CRP payout yesterday.  I have not seen the payment come into my Ameritrade accounts yet, I am about to call them and see what the hold up is.

After a phone call, I confirmed that my two accounts at Ameritrade have also received the CRP payout.  Unlike Fidelity however, Ameritrade charged both accounts a $38.00 fee for a "Mandatory Reorg/Name change" event.  This fee is exactly why I had closed out all my Ameritrade accounts earlier this year and moved the balances to Fidelity. I had numerous such events happen the last several years and that $38 fee per event was starting to really add up.  The CRP's were not a moveable security so the accounts had to stay "technically open" even though I no longer had access to the accounts via online login.  They will disperse the cash to my Fidelity accounts now and then the accounts will be fully closed.  Glad to be done with them....
