The last bits of the negotiations can be very difficult. They have to populate the new entity and this is not always easy as the CEO will most probably be the principal of the LNG project. It is not unlogical that the SD partners and the PNG government want their say in this. May be Phil is not happy with the outcome and this is the reason of his resign.
I can not imagine that they are talking about the sale of the total company. This can only happen if they can not come to terms with the conforming bidders.
