Should Shareholders Vote For InterOil's Acquisition By OilSearch?

So the ying and yang we hear about some folks selling at a price above $41. To me that seems low at this point with the following:

$40.25 price from OSH
CVR of some value
A future buyout of OSH....

So am I missing something why are folks jumping ship at $41-$43 pps.
