The Vote is very specifically for OSH and does NOT have any grandfathering provision that would allow a new bidder to be naturally installed in place of OSH.
The wording of the proxy is not ambiguous in this regard.
The Proposal in the Proxy is this:
"TO CONSIDER, AND, IF DEEMED ADVISABLE, TO PASS, WITH OR WITHOUT VARIATION, A SPECIAL RESOLUTION, THE FULL TEXT OF WHICH IS SET FORTH IN SCHEDULE B TO THE MANAGEMENT INFORMATION CIRCULAR OF INTEROIL DATED JUNE 24, 2016 (THE "INFORMATION CIRCULAR"
, APPROVING A STATUTORY PLAN OF ARRANGEMENT UNDER SECTION 195 OF THE BUSINESS CORPORATIONS ACT (YUKON) INVOLVING INTEROIL AND OIL SEARCH LIMITED, ALL AS MORE PARTICULARLY DESCRIBED IN THE INFORMATION CIRCULAR."
There is no way that XOM could be legally inserted to replace "OIL SEARCH LIMITED"
