POSSIBLE FRAUD OR ERROR ON PROXY VOTE
#1

Has anyone observed this?

I am waiting on hold with Fidelity.  I went into my account to vote the Blue Proxy online.

All my shares are in one Fidelity account.

What I found was one electronic proxy for the blue ballot, AND TWO ELECTRONIC PROXIES FOR THE WHITE BALLOT.

There is zero info online to say the 2nd white proxy replaces the first.  There is no other support info.

I'm guessing the 2nd came after Phils lawsuit.  Each proxy has a different control number.

I have no idea what would happen if I voted BOTH WHITE PROXIES (not my plan).  The lack of any message on the 2nd duplicate proxy is very concerning.

At the very least this is being poorly handled for failing to communicate.  The worst extreme is it is a fraud.

Any financial professionals have the answer?

Kaliboo, this is normal, IOC will be sending out a total of three white proxy forms, they are desperately wanting to goad and cajole every last vote.

The IOC management are not footing the bill personally for the proxy war, they are happy to spend out money. (at approx $150k/per proxy)

Ignore the white proxy records and vote BLUE.

Thanks.  So is it common knowledge that subsequent mailings superced the earlier electronic ballot?  There's no text on the ballot stating that.

I have read in a couple of places that the one with latest date is the one that counts.  Note that both blue and white sheets have a box with a number in it with an arrow on the left of the box.  Same number for the same shares, so it should not be overwhelmingly difficult to avoid double counting and to record the date alongside the signature on the ballot.

Correct. The last dated proxy will supercede all the previous ones.

Thanks, I had no idea I could vote from inside my Fidelity account. Life is so busy, I must admit that I usually don't bother submitting my proxies. I have electronically received four proxies for each of the two accounts that hold IOC stock. The Proxy Types are listed as:

1) Contest meeting Management (one proxy per account, dated 6/2/16)

2) Contest meeting Opposition (one proxy per account, dated 5/26/16)

3) Special meeting (two proxies per account, dated 5/20/16 and 5/10/16)

Proxy #1 and both #3 proxies are clearly from management and appear to be identical. Not sure why the type was changed from "Special meeting" to "Contest meeting Management. Proxy #2 is clearly from the Opposition and must be what everyone is calling the Blue proxy, though I see no color differentiation.

The whole mess is very confusing, and I could easily see some people thinking they should fill them all in. I have only received the white proxy in the snail mail so far, btw.

Fidelity knows nothing about it.  You can contact the proxy company if you have questions

I have IOC held at two brokerages, Fidelity and TD Ameritrade.  Both offer the online viewing and voting of proxy materials.  Fidelity shows the two IOC mgmt proxy forms (White) as well as the PM form (Blue).  I voted the blue form.  Ameritrade however only shows the 2 sets of IOC mgmt proxy forms (White).  I do have physical mailed copy of the blue proxy for my Ameritrade shares so I can still vote them.  Just strange that they are not appearing online like they do at Fideity.

It appears that a few people have seen this.

With the physical BLUE proxy you can vote that online.
