Board of Directors share count.
#1

I still find it amazing that Dr. Michael Hession has 296,831 shares after three years at the helm with the stock almost cut in half since his transformational deal.  That doesn't include the change of control payment he is due to get.

All the Board members collect in change in control , share count jumps to over 51 million . Not good if selling cheap .

How much does each collect and how is it determined?

I believe that the payment is in RSUs which would convert into shares so that they would be paid as all the other shareholders..  If so, presumably they would welcome a "superior" offer.  But PNG is The Land of the Unexpected.

Go here http://www.interoil.com/iocfiles/documents/investorrelations/financialreports/2016/2016-06-30%20IOC%20Special%20Meeting%202016%20-%20Notice%20of%20Meeting%20and%20Management%20Information%20Circular.pdf and search for Hession or just go to pages 67 of 448 or page 68 of 448 to find out more than you want to know about the BOD stock ownership and Management’s compensation for change of control. These pages are actually marked pages 31 and 32.
