Hopeful Thread

( https://finance.yahoo.com/quote/TMC/key-statistics ). If DSMF owns 4.6% of TMC outstanding shares that's 12,214,380 shares which makes them one of the largest shareholders ( https://www.barrons.com/market-data/stocks/tmc ). I find that information completely crazy.

Speculation ahead: Is there a chance that our nusmf shares get merged into / exchanged for shares of TMC? Given everything we know is that where this road has been leading for the past 3+ years?  Man I just don't know what to think anymore.

Never selling my shares.....

Long Nautilus.  I too will never sell my shares.  This is a long crazy road.  It often makes no sense.  There is undoubtedly some advanced financial gymnastics at play here.  The money I spent on my investments goes back many, many years.  I consider it gone.  Anything positive that happens is a miracle of sorts.  All the best to us who just keep hanging on.  Maybe one day we will look back and and be very happy we did.  All the best to you and your determined spirit and anyone else who still visits here as we are both hopeful and steadfast.

Ok, there are a few of us steadfast stubborn individuals hanging on. But I am with you both, not selling any of my shares. The fact that these shares are held on the private market puts us in a class that normal retail investors NEVER get a chance to be in. This would be the equivalent of being in the "insiders club". This club usually being big investors getting the first opportunity to invest. Should be interesting or possibly we get screwed again.

My sentiments exactly, I'm with you guys. I'll never sell. In my mind my substantial amount of investment (about €35k) is gone. Anything positive from now on will only be a pleasant surprise.

Thanks for the posts gentlemen! There are a lot of people looking at this board besides us so maybe we're not the last true believers out there...

Add in the 160 million shares of nusmf that were bought after the CCAA started and now DSMF's 4.6% ownership in TMC, I think it's very likely that there's been a long-term plan in place to merge the (now debt free) Nautilus shell into TMC and swap shares.

TMC would get two much needed corporate backers in Metallo & MB, the 100 million dollar mining machines, the magically disappearing completed vessel, Solwara 1, the patents, the quantified tenements, dozens of prospective sites, etc. Yes TMC shares get diluted, but that was going to happen anyway because they were always going to need to raise alot more cash to reach production.

Mettallo & MB would still maintain a large ownership percentage, keep their "first mover advantage" in the industry of the future, finally produce roi on a failed 500 million+ (probably more) venture, and most importantly emerge as a publicly traded company without going thru a traditional ipo (especially important for a Russian and Omani firm). Also what kind of mining company has the name Deep Sea Mining Finance???

As far as timelines TMC can technically begin mining in Naru July 2023 because of the 2 year rule. Currently they only have around 46 million dollars which is nothing in mining - they need cash asap. If any of this is true I think something would have to happen between now and then.

Obviously I'm making a lot of assumptions here but let's enjoy this crazy ride and maybe the little guys get to win this time!

LongNautilus, just assumptions? Maybe, but what you are saying makes a lot of sense.

Sedi (System for Electronic Disclosure by Insiders) is a required Canadian public reporting system for company insiders when buying, selling or getting granted shares, options, warrants, etc. Not super proficient with it or know if it's up-to-date, but found it interesting that the 6 people below still have "active" stock options per the report I ran today.

Tariq Albarwani: 1 Million Options, strike price of .23 and expiration or maturity date of 3/23/2023.
Jay Scott Layman: 1 Million Options, strike price of .23 and expiration or maturity date of  3/23/23.
John McCoach: 1 Million Options, strike price of .23 and expiration or maturity date of 3/23/2023.
Jonathan Whitworth: 1 Million Options, strike price of .23 and expiration or maturity date of 3/23/2023.
Glenn Withers: 703,000 Options, strike price of .23 and expiration or maturity date of 3/23/2023.
Paul Alexander Visosky: 600,000 Options on 9/17/2018, no strike price, no expiration or maturity date.

Why hasn't Nautilus Minerals been deleted off this system already? Why is the 3/23/23 date used for these options? Could be nothing - just more questions......

Steps to run this report:

1.) https://www.sedi.ca/sedi/SVTWelcome?locale=en_CA
2.) click Access public filings
3.) click View Summary Reports
4.) click Insider transaction detail
5.) Issuer name: Nautilus Minerals / Transaction date range: 1.1.2018 -       11.6.2022  / Optional criteria: Select all x4 / Issuer Industry Classification: none / Search
6.) click view (issuer # 00005833 / Nautilus Minerals, Inc)

So come March 23rd. the quantity of 5,703,000 shares will be put to these individuals. But a line item also is that not mentioned above is that Deep Sea Mining Finance LTD will be put 75,171,816 million shares. It will be interesting to see if the expiry happens. Thanks again LongNautilus...

Or do these options just expire worthless?

From Gerard Barron / TMC Earnings Call yesterday:

"And, as we mentioned, on the last earnings call and reiterated today, our preference is to be raising our future capital at the asset level. And this is very typical for companies to offer earn-in type arrangements to other more significant companies, whether it's in the mining or the oil and gas industry, where those majors will typically come and earn in to an asset. And the important thing about our project is that we don't need a lot of money to get over that into production hurdle."

From Mawarid Mining webpage:
"The project assets are currently held on care and maintenance as DSMF develops a farm-in arrangement with a group interested in developing the Solwara 1 Project"

Both use "farm-in / earn-in" language for future financing.     ( https://www.marshalllawyers.com.au/alert...e-earn-ins ).

I definitely feel like something is going on.  Whether or not our still-traded shares are included only god knows.

LongNautilus per your post on January 2022 post #63 on this thread our shares reside in the Expert Market. I got a warning from TD Ameritrade that my shares had fallen into this market and would be difficult to try to trade. I believe that this is where the main principals get in early ahead of the retail investors. Kind of like an insider's high risk club.
