Can you still buy IOC stock and be entitled to the CVR?
#1

Does anyone know?  Spoke with my broker and he didn't know with certainity.    He mentioned it could be based on conversations/agreements with lawyers and the cutoff date could be dependent upon what they come up with.  Does that sound reasonable?

So, if the vote was on June 14th to accept the plan/merger, is it reasonable to think you would be entitled to the CVR  if you purchased before then.  Or do you think it is possible, they could set an as of Announcement date as of last Friday?   Anyone have any experience to pull on?

Thanks,

End of 3rd quarter would be SEPT 30. That's the expected "close" timeline. I would think that they can't create a retroactive share on record date.

Yes. As long as you can still buy IOC shares you can get the CVR. The CVR is not structured like a dividend which has a cutoff date (ex-div) then continues to trade without the right to the dividend (or CVR). On the closing date of the merger all IOC shares will turn into either 1. Cash + CVR or 2. OSH shares + CVR and there will be no IOC shares remaining.

IOC will not trade in absence of the CVR right at any time unless they materially alter the deal.

Not an expert, but ...

Wouldn't the CVRs need to exist first? It seems to me that the deal would need to be approved by shareholders and have passed all regulatory hurdles before the CVRs could be issued. The whole takeover transaction should be completed almost instantly thereafter. The hypothetical CVR right should transfer with the purchase and sale of IOC stock until then, shouldn't it?

Right, MRP.  And for sake of complete accuracy, if demand for cash is more than the alloted $770milion, then some will have Some cash + Some OSH shares + CVRs, as things are now proposed.

What has not  been well thought out is how Americans will be able to hold shares in an Australian company in their American brokerage account without an ADR for Oil Search.

This was asked on the conderance call with Raymond James by Pavel  and MH said that he did not know if OilSearch would have an ADR and said that was an Oil Search  issue  ie not his problem.

Problematic, especially for IRA money.  Another example of the arrogance of MH and how he cares zero for the interest of shareholders.

Interactive Brokers also has an International trading desk and one can hold those shares in their IB accounts.

Pink sheet listed . Has a 5 letter symbol to trade under in US. Best to double check with your custodian to see if they hold . Most brokers would allow such a holding
