Curious, reading other forums, lots of people seem to expect a deal announcement to more or less coincide with the annual shareholders meeting. Of course, the company itself argued that they would conclude a worldwide license deal with a big tobacco company by the end of the third quarter, but if and when such deal is concluded they are obliged to issue a PR. It would be quite coincidental if that coincided with the AGM (on Saturday), and even more curious if they could have predicted such coincidence.

So the odds are no such deal will be announced at the AGM (and recent trading seems to reflect that), although that doesn't mean no such deal is forthcoming, of course. The latter is quite likely

Reportedly at the AGM yeaterday management indicated that there were many questons that they would be unable to address. However they stated that they would stand by all pronouncements specified in the June 10 press release. When pressed with the late date in the quarter they stuck to their guns and seemed a bit giddy.

Thus I expect a major announcement tomorrow, Sept 30, re worldwide licensing with major tobacco.

Ok, thanks, good to know, coincidences do happen, apparently. Even if it happens a few days later this isn't really a problem. IOC and DSNY investors know that things usually take a little longer..

Well, they kept their word, here is the license agreement with a global tobacco company (Yahoo):

CLARENCE, N.Y.--(BUSINESS WIRE)--

22nd Century Group, Inc. (OTCQB:XXII) today announced that its subsidiary, 22nd Century Limited, LLC, and British American Tobacco (Investments) Limited, a subsidiary of British American Tobacco plc (LSE:BATS; NYSE MKT: BTI), have signed a worldwide research license agreement (the “Agreement&rdquoWink granting BAT access to 22nd Century’s patented technology which alters levels of nicotinic alkaloids in tobacco plants.

The Agreement grants British American Tobacco (Investments) Limited and all other affiliates of British American Tobacco plc (collectively, “BAT&rdquoWink rights to three of 22nd Century’s patent families encompassing a cumulative of 28 patents and patent applications in various countries and regions and an option to enter into a worldwide commercial license with 22nd Century. 22nd Century Group and its affiliates retain worldwide rights to the technology and patents licensed to BAT for use worldwide in 22nd Century’s products and brands.

The research term of the Agreement is for a period of up to four years during which time 22nd Century and BAT will collaborate on research efforts to further develop the subject technology. Pursuant to the Agreement, BAT can exercise its option to enter into a worldwide royalty-bearing commercial license (the “License&rdquoWink at any time during the research term. If the option is exercised, the Agreement would terminate and would be replaced by the License, which would extend to at least the year 2028, unless sooner terminated by either of the parties.

Simultaneous with the signing of the Agreement, BAT is making an upfront payment of $7 million to 22nd Century. Pursuant to the Agreement, BAT is also agreeing to pay to 22nd Century up to an additional $7 million during the course of the research term upon the completion of certain development milestones.

This agreement with British American Tobacco appears to be non-exclusive.

Think other tobacco companies have an interest in a healthier cigarette? Of course they do. Think pharmaceutical companies need a better smoking cessation paradigm? Of course they do. Think XXII is ready to produce and distribute their own brands. Of course they will. Think that the stock of XXII is likely to rise...... maybe a lot? CTD

Their former financing partner Sabby is throwing their last shares on the market, sooner rather than later they will run out of shares to sell. The news is very good, I would say that this is a tremendous buying opportunity, or an opportunity to add.
