Timing

I have oft been asked if I have any insight to the timing of a finalized deal with Exxon.  My standard and honest reply has been I have a lousy track record predicting the timing of major IOC events.  With that understanding, I have seen some anecdotal evidence as of late that makes me feel optimistic.

"InterOil's CFO and head of IR met with at least two of the company's biggest shareholders on their way to Asia this week. I was told they made an offer for the funds to sign NDA's and be temporarily restricted from trading in return for learning the terms of the SPA with XOM, implying the deal must basically be done and there's nothing left to negotiate. So it wouldn't surprise me if the big announcement is days or maybe a week or two away at most."

hmmmmmmm.

I'm not an expert on this but that sounds illegal to me. Let me see the terms, give me a week or more to examine them and figure out all their ramifications and implications for IOC's value, estimate how the market will likely immediately react and how it will react when it's figured out what isn't immediately apparent, and plan my trading strategy accordingly--and I'll happily promise not to trade until the terms are released. I'll have at least a few hours of trading when my knowledge will be way ahead of everyone else's. Doesn't the SEC have rules that prevent dissemination of info to select shareholders, regardless of NDA's and trading restrictions?

See the back and forth on Yahoo. I would tend to look at such as not appropriate, but it apparently would not be illegal under certain circumstances. Note the trading restriction that would be part of it. However, the offer it is stated was not agreed to and not done. Of course, we can't be sure I would say that the report is even accurate.

no clue if this yahoo post has any validity or not, but i can tell you that we do this all the time with larger positions we have in smaller companies..basically what happens is you have to wait for the company to release you from the freeze to start trading again - you don't get to start trading it the minute news is announced to the market. this is a rather common practice..usually they let you start trading a few days after it is released. and any of this can be customized..the other thing you have to realize is that they only do this with the largest shareholders, so it's not as relevant (i.e., Chandler can't just whack a bid in the first 30 minutes of trading and clean out his position because he has edge on the market - it would take him a while to get out or accumulate anyway)

Finally someone is posting the realities of the marketplace. There is also a very squishy line of information when a CEO and IR VP are meeting privately with big holders. Eric is over on Yazoo boasting about his mutual fund knowledge and how the above could never happen. I doubt that Sussy has been in a meeting with a Fortune 500 CEO, IR VP, and a big investment firm.  I have and the REG FD lines get very blurry.

Anyone know why Wayne (and Collin) are in London? Business or pleasure, and if business, what kind?
