I don't think this is an issue. Because of that, MBP also audited the 2012 and 2011 annual results.

By Shuli Ren @Barrons.com I just received an emailed rebuttal from Muddy Waters‘s public relations representative regarding NQ Mobile‘s (NQ) press release today that it was cleared of fraud. Here is what the famous short-seller Carlson Block has to say: “NQ remains a massive fraud, but its 20-F filing today was no surprise. After dismissing PwC, NQ specifically chose Marcum and its principal Drew Bernstein as its auditor because they have publicly criticized short sellers in the past, and have issued clean audit opinions on numerous questionable Chinese reverse-merger companies. The timing of the filing was no surprise either, given the substantial recent run-up in the stock price, as insider trading clearly continues to be rampant in this stock. We hope regulators will step in soon before further damage is done to investors.”

This is laughable. MW has ZERO credibility. They got lucky with Sino Forest. One trick pony.

I think the info on the 20-f showing common class A shares increasing from 247,818,186 on December 31, 2013 to 393,446,333 at the end October 15, 2014 on page 101 might have something to do with the weakness. This increases shares outstanding by almost 50% for the year so far. Now with the equavilent of 90 million ADSs outstanding, the current stock price already gives a market cap of almost $900 million.

Thanks - You and Mountainbiker corrected me on two points.  That is quite a lot of dilution - probably acquisition related, but still large all the same.

So you are telling me the current price is actually not $9.5, but the $14 of the old price.....

I guess in theory. If the stock was trading at a market cap of $900 million with around 60 million ADSs oustanding like at the end of 2013, that would give about a $15 stock price.

the question is what did they do or acquire with these shares?  What do these acquisitions mean to the bottom line.  Very frustrating being in the dark for so long.  I can understand why many have given up

Yeah I calculated it as $14.27. However now Bison offer becomes something totally different. So They were not offering almost $600 million to purchase NQ, they were offering almost $900 million, a big difference you would agree. I am assuming the number of shares didn't shoot up in two months, and Bison must have known how much money they needed to buy NQ.

"NQ Mobile Inc. ("NQ" or the "Company"Wink (NYSE: NQ), a leading global provider of mobile Internet services, today announced that its board of directors (the "Board"Wink has received a non-binding proposal from Bison Capital Holding Company Limited ("Bison"Wink to acquire all of NQ's outstanding ordinary shares and American Depositary Shares ("ADSs," each representing five ordinary shares of NQ). Bison has proposed a fixed cash consideration of US$9.80 per ADS"

With almost 150 million new shares, does this mean that NQ spent around $1.2 Billion (150m*$8 avg) on acquisitions in 2014???
