ASX ANNOUNCEMENT

20 May 2016

OIL SEARCH AND TOTAL SIGN AGREEMENT REGARDING ACQUISITION OF INTEROIL ASSETS IN PAPUA NEW GUINEA

·         MoU signed between Oil Search and Total. Oil Search to sell down 60% of the interest acquired from InterOil in PRL 15 and 62% of InterOil's exploration assets to Total, subject to closing the InterOil acquisition.

·         Oil Search and Total to focus on development of Papua LNG Project and to pursue cooperation and/or integration opportunities with PNG LNG Project.

·         MoU with Total underpins the value of the InterOil transaction, enhances Oil Search's liquidity and, importantly, drives long term alignment between the JV parties to deliver value for all stakeholders.

Oil Search Limited and Total SA are pleased to announce that they have entered into an exclusive Memorandum of Understanding (MoU). This follows Oil Search's agreement to acquire InterOil Corporation (InterOil), announced earlier today.

The MoU sets out the principles on which:

·         Oil Search will sell down 60% of InterOil's interests in PRL 15 and 62% of InterOil's interests in its other exploration assets to Total following the successful completion of Oil Search's acquisition of InterOil. The terms of the sell down will be consistent with the value implied under the InterOil transaction

·         Oil Search and Total will seek to maximise the value for all stakeholders by pursuing cooperation and/or integration opportunities with the PNG LNG Project

The MoU is expected to deliver significant value to Oil Search, InterOil and Total shareholders:

·         Immediately de-risks Oil Search's acquisition of InterOil through the PRL 15 sell-down process, delivering certainty and incremental liquidity for Oil Search and InterOil shareholders

·         Establishes an aligned partnership between Total and Oil Search, with material interests in the Papua LNG Project, while also providing the possibility of bringing in new partners including LNG buyers

·         Provides a commitment to maximise the value of the Papua LNG Project through cost minimisation, schedule acceleration and optimal resource utilisation through cooperation and/or integration with the PNG LNG Project

·         In a standalone project case, aligns Total and Oil Search to deliver a robust LNG project with equity available for buyers and potential new participants

Sell-down Agreement

Oil Search and Total have agreed that Total's acquisition of equity in PRL 15 and InterOil's exploration assets will be on the same terms as Oil Search's proposed acquisition of InterOil announced earlier today. The transaction is anticipated to occur shortly after completion of the proposed acquisition of InterOil. Following completion of the sell-down process, Oil Search and Total will share, on a pro rata basis, all costs and liabilities in respect of acquiring InterOil, as well as any future Contingent Value Rights payable to InterOil shareholders, at or above a 2C resource of

6.5 tcfe for Elk-Antelope.

Following the sell-down to Total, Oil Search expects to have an equity interest in PRL 15 of up to 37.4%, or 29.0% post government back-in, with Total holding an equity interest in PRL 15 of up to 62.1%, or 48.1% post government back-in. This equates to Oil Search selling down 60% of InterOil's 36.5% (28.3% post government back-in) PRL15 interest to Total.

After paying for the additional equity in PRL 15 and equity in InterOil's exploration assets, Total will also pay Oil Search a further cash amount of US$141.6m on 1 July 2017 and US$230m at FID for the Papua LNG Project. No further contingent resource payments or exploration carries will be due by Total.

Under the MOU, both Oil Search and Total have committed to ensuring an accurate resource certification under the Total-InterOil SPA. Oil Search and Total are committed to ensuring the interim resource certification process is transparent and focused on accurately assessing the potential resource in the Elk-Antelope gas fields for the purposes of the CVR calculation and for guiding development plans for the Papua LNG Project. This process will follow the yet-to-be formally approved Antelope-7 appraisal well program.

Development Agreement

Under the terms of the MoU, Oil Search and Total's objectives are to maximise the value of the Papua LNG Project through capital and operating cost minimisation, project acceleration and optimal resource utilisation. Oil Search and Total have therefore agreed to pursue cooperation and/or integration opportunities between the Papua LNG Project and the PNG LNG Project, to maximise value for all stakeholders.

Commenting on the MoU, Oil Search's Managing Director, Peter Botten, said:

"THIS MOU, ALONG WITH OUR PROPOSED ACQUISITION OF INTEROIL, IS A TANGIBLE STEP FORWARD TO OPTIMISING COOPERATION BETWEEN PNG'S TWO WORLD-CLASS LNG PROJECTS, WHERE WE NOW HAVE COMPLEMENTARY SIGNIFICANT INTERESTS. THIS HAS THE POTENTIAL TO DELIVER CAPITAL EFFICIENT, HIGH RETURNING INVESTMENTS WHICH IS ESPECIALLY IMPORTANT IN PERIODS OF LOW OIL AND GAS PRICES. THIS AGREEMENT BETWEEN OIL SEARCH AND TOTAL, SUPPORTED BY THE PNG GOVERNMENT IS A MAJOR ADVANCE IN MAXIMISING VALUE IN THESE WORLD-CLASS ASSETS FOR ALL STAKEHOLDERS, WHILE ALSO FACILITATING THE ENTRY OF POTENTIAL NEW PARTIES, INCLUDING LNG BUYERS, INTO PAPUA LNG."

Total's Chairman and Chief Executive Officer, Patrick Pouyanné, said:

"FOLLOWING OUR ENTRY INTO PRL 15 IN 2014, THIS AGREEMENT BETWEEN TOTAL AND OIL SEARCH DEMONSTRATES TOTAL'S STRONG COMMITMENT TO THE DEVELOPMENT OF PNG'S GAS RESOURCES. IN LINE WITH OUR STRATEGY TO HOLD SIGNIFICANT INTEREST WHEN WE ARE OPERATOR, WE WILL INCREASE OUR OPERATED INTEREST TO A MORE MATERIAL LEVEL TO DRIVE THE FUTURE DEVELOPMENT OF THE PAPUA LNG PROJECT, A LOW COST ONSHORE LNG PROJECT CLOSE TO ASIAN MARKETS. TOTAL IS VERY PLEASED TO ESTABLISH SUCH A STRONG COOPERATION WITH OIL SEARCH. THIS ALIGNED PARTNERSHIP PAVES THE WAY TO JOINTLY WORKING TOWARDS OPTIMIZING THE MONETIZATION OF THESE RESOURCES, INCLUDING BY ACTIVELY SEEKING OPPORTUNITIES FOR COLLABORATION AND/OR INTEGRATION WITH THE EXISTING PNG LNG PROJECT, FOR THE BENEFIT OF ALL STAKEHOLDERS."

Goldman Sachs and Macquarie Capital are acting as financial advisers to Oil Search on this transaction.

No competing bid from Total or Woodside

Cmon, XOM or Shell!  Seems like almost free money if they topped OSH share bid.  Interesting to see what IOC share price does tomorrow - above offer then maybe the smart money looking for competition.

InterOil accepts $3bn offer from Oil Search

·      THE AUSTRALIAN

·      MAY 20, 2016 8:44AM

Oil Search has turned from prey to predator, agreeing a $US2.2 billion ($3.04bn) acquisition of PNG-focused InterOil.

The purchase of one of its joint venture partners in PNG follows on the heels of its rejection of an $11.6bn takeover offer from Woodside Petroleum last year.

Woodside boss Peter Coleman this morning ruled his company out as a counterbidder for InterOil or launching another tilt for Oil Search.

“For us, big-ticket M&A (mergers and acquisitions) is not front of mind,” Mr Coleman said at an investor briefing in Sydney.

He said Woodside would focus on mergers and acquistions of less than $1 billion.

The proposed Oil Search-InterOil tie-up includes a significant onsale of assets to France’s Total and has been unanimously agreed by the boards of both companies, with regulatory and shareholder approvals still to be sought.

A deal between Oil Search and InterOil has long been speculated and was seen as a potential poison pill plan last year as Oil Search looked to fend off the advances of Woodside.

The Australian’s DataRoom columnlast weekrevealed a plan to overhaul the board of InterOil had raised the chances of an Oil Search approach.

The threat to the board came in the form of the reappearance of controversial InterOil founder Phil Mulacek, with the potential for instability likely driving action from Oil Search and Total given their vital relationship in PNG.

The Australian’s DataRoom column revealed a takeover offer was likely to be forthcoming before a June 14 AGM that was set to pressure the positions of some InterOil board members, although Total was widely viewed as a potential rival to Oil Search rather than a co-bidder.

The proposed all-scrip deal — which will deliver 8.05 Oil Search shares and a contingent value right (CVR) to InterOil investors for every share they own — comes at a 27 per cent premium to InterOil’s last traded price on the New York Stock Exchange.

The CVR will see InterOil shareholders rewarded by an improvement in the certified resources at the Elk-Antelope project, in which both firms are currently major partners alongside Total.

Oil Search will also offer a cash alternative up to a total of $US770 million, with the group to pursue a share buyback if the take-up does not reach the maximum amount.

“The InterOil board believes [the deal] delivers significant value to all InterOil shareholders through the opportunity to benefit from ownership of shares in the combined entity at a significant implied premium to the current InterOil share price, while maintaining exposure to the value upside from the certification of Elk-Antelope,” InterOil chairman Chris Finlayson said.

The agreement is also tied to a memorandum of understanding between Oil Search and energy giant Total that effectively rules out the prospect of a rival bid from the French group.

The MOU involves Oil Search selling 60 per cent of InterOil’s interest in the Elk-Antelope asset and 62 per cent of InterOil’s exploration assets to Total for cash.

Following completion of both the merger and MOU, Oil Search’s interest in Elk-Antelope will rise to 29 per cent, while Total’s will climb to 48.1 per cent, assuming the PNG government exercises its back-in rights as expected.

“These transactions have strong strategic logic and are consistent with Oil Search’s objective to create and deliver value for shareholders,” Oil Search managing director Peter Botten.

“They further our strategy of pursuing and developing LNG opportunities in PNG and cement our position as the premier exploration and production company in PNG.

“Obviously [the Total agreement] de-risks the InterOil acquisition for Oil Search shareholders.”

The deal requires 66 per cent approval from InterOil shareholders and is tipped for completion in the third quarter of the calendar year.

At the 10.25am (AEST) Oil Search shares traded down 3 per cent at $6.70.

MH is a scum bag. I have said for years, "I believe in the assets but of management I am suspect". If MH is doing this for personal security and benefit at the sacrifice of the shareholders this is pathetic. I told the rep from Macquire, who called me three times, the same thing. If MH and the BOD are really screwing us they al deserve to get Kuru from the highlands.

We must do the needful and:

+ Claw back all of Hession's previous salary and RSU's
+ Make sure he's not the IOC Board Member who joins the OSH Board
+ Get him thrown in Singapore Jail, along with 20 strokes of a big fat cane

I don't doubt that MH and this Board screwed shareholders as they have since pink shirt joined us, but we don't know how bad, how deep, or if astroglide will be used.

Maybe the CVRs will surprise us - we need to read the fine print.

Lets see what IOC share price does tomorrow, and see what RJ and MS have to say. IMHO
