Hi Sageo, this is textbook failed management theory. In fact the last 3 years is a perfect example of the "Agency Problem" when a weak board is ruled by a strong executive. We see excessive remuneration, compensation trigger points linked to events that are contrary to the shareholders best intrests, and a board that is best described as "being governed" rather than governing.

There are many text books that describe this problem, and the present case seems to be able to fit all documented examples.

Read almost any text by Peter Drucker, and it becomes clear.

Many books exist that describe the problem we are witnessing including "The fish rots from the head" by Bob Garratt, or "Corporate Governance: Principles, Policies, and Practices" by R. I. Tricker.

When a weak BOD is complicit with the executive to the detriment of the shareholders, its up to the shareholders to fix the problem by replacing the BOD.

As I thought about malfeasance in many of our large corporations , I thought about DC. My beautiful wife asked me just yesterday," if we took all of the liars and hypocrites out of there,what would the population drop down to " ? Sageo - My best to your beautiful wife. For one I would suggest hypocrisy has been raised to the level of a national religion. Pay to Play? I wonder if there will be special GSA pricing for Trump facilities around the world. Corruption? Now that Jared Kushner has paid back Christie for sending his dad to prison on 20 felony counts the "my kids are going to run the business while I run the country" seems like another set of words we just have to find a different meaning for.

Hold on to your seats. We are about to see the real thing.

As already mentioned the appeal route is not very easy and remains uncertain. So, MH has to redo the procedure if he does not want to offend XOM. This will be postponed to Q1. If certification is ready at the end of Q2, this will not be a very logical move even for the most stubborn yes voters.
